Terms of Use
The terms on which Ezra Bridge Inc. makes revaia.io available to you, including what the Site is not: an offer of credit, a commitment to fund, or financial advice.
Last updated 4 September 2026
Agreement to these terms
These Terms of Use (the "Terms") govern your access to and use of the website at revaia.io, the Revaia platform and their content (together, the "Site"), operated by Ezra Bridge Inc. ("Ezra Bridge", "we", "us" or "our"), a corporation incorporated in the State of Delaware, United States (registered address available on request).
By accessing or using the Site you agree to these Terms. If you do not agree to them, do not use the Site.
These Terms govern your use of the Site. If we enter into a funding, factoring, purchase or capital partner agreement with you, that signed agreement governs the funding relationship itself.
Eligibility and business use only
The Site is for business use only. It is made available to businesses, and to the people acting for them, for business purposes. Any funding arranged through it is commercial funding provided to a business. It is not consumer credit. Nothing on the Site is an offer of a consumer loan, a personal line of credit, or any product intended for personal, family or household use, and we do not offer any of those.
To use the Site you must be at least 18 years old, be acting for a business, and have the legal capacity to enter into a binding agreement. If you use the Site on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
You are responsible for complying with the laws that apply to you where you access the Site. We operate from the United States and we make no representation that the Site, or any funding described on it, is appropriate or available in any particular jurisdiction. Availability is limited to the places, business types and circumstances in which we choose to operate, and we may change that at any time.
The Site is information only
Nothing on the Site is an offer of credit, an offer to purchase invoices, or a commitment to fund. The Site describes what Revaia does and what it may be able to offer. It is an invitation to apply, and nothing on it should be read as an approval, a pre-approval or a promise of funding.
Any advance rate, fee, limit, timeline or other term shown on the Site, or discussed with us before signing, is indicative and illustrative only. It does not bind us. A facility exists only where we and you have signed a written agreement, and only on the terms of that agreement, which prevail over anything on the Site.
Descriptions of the platform and how it works are provided for information. Anything described as planned, in development or in private beta is exactly that, and nothing on the Site should be read as a representation of volumes funded, results achieved, or the outcome of any application.
No professional advice
The Site, including anything we publish on it, is provided for general information. It is not financial, credit, investment, tax, accounting or legal advice, and must not be relied upon as such. It may be simplified, may become outdated, and will not fit every circumstance. Take your own professional advice before making a financial decision for your business.
No adviser, fiduciary, agency or client relationship is created by your use of the Site or by contacting us. In any funding arrangement we act for ourselves. We do not act for you, and we do not owe you a duty to advise on whether invoice factoring is suitable for your business or on the terms you should accept.
Underwriting and no guarantee of funding
Applying does not mean you will be funded. Every application is subject to verification, underwriting and approval. Eligibility, advance rates, fees, limits and every other term depend on our assessment of your business, the invoice, and the customer that owes it, and may change as that assessment changes or as new information reaches us.
We may approve, decline, limit, pause or withdraw a facility, and we may decline any individual invoice, at our discretion, subject to applicable law and to any signed agreement between us. We are not required to give reasons beyond what the law and that agreement require.
Timing is not guaranteed. Verification, third-party checks and banking systems are not fully within our control, so any indication of how long a decision or a payment will take is an estimate rather than a commitment.
Information you submit
You are responsible for the accuracy of everything you submit. When you give us business details, financial or accounting data, invoices, bank account details or verification documents, you confirm that the information is true, accurate, complete and current, and that you are authorised to give it to us.
For every invoice you submit, you confirm that it is genuine, that it reflects goods or services actually supplied, that the amount is properly owed, that so far as you are aware it is not disputed and has not been financed, assigned, sold or pledged to anyone else, and that you are entitled to submit it to us.
You must keep what you have told us current, and tell us promptly when something material changes: a dispute or credit note, a payment made directly to you, a change of bank details, or a change in the ownership or control of your business.
You confirm that you are entitled to give us any personal information about other people, including individuals at your customers, and that you have a lawful basis for sharing it. Our Privacy Policy explains how we handle it.
You keep ownership of what you submit. You grant us a non-exclusive, worldwide, royalty-free licence to use it for the purpose of verifying it, assessing, funding and administering a facility, preventing fraud, and meeting our legal obligations. Where you have authorised a connection to an accounting or banking provider, you may withdraw that authorisation, and we will stop collecting new data through it.
If information you give us is inaccurate, incomplete or misleading, we may decline an application, suspend or terminate your access, and take any other step available to us under our agreement with you and under applicable law.
Permitted use
We grant you a limited, non-exclusive, non-transferable and revocable licence to access and view the Site for your own business purposes and, where we give you an account, to use it in accordance with these Terms. You may quote or link to our published writing with attribution.
You agree that you will not:
- Copy, republish or redistribute substantial portions of the Site as your own, or present our writing as though it were yours.
- Use the Site or its content to train a machine learning model for commercial redistribution without our written permission.
- Submit false, forged, altered, duplicated or fraudulent information, invoices or documents, or apply on behalf of a business you are not authorised to represent.
- Use the Site to launder money, to fund anything unlawful, or in breach of applicable sanctions or trade controls.
- Share your account credentials, or allow access to anyone your business has not authorised.
- Probe, scan, or test the vulnerability of the Site or its infrastructure, or breach any security, gating or authentication measure, other than through a good-faith report to us.
- Attempt to access an account, application, invoice or record that is not yours.
- Interfere with the Site’s operation, including through automated scraping at a rate that degrades service, denial-of-service activity, or the introduction of malicious code.
- Use the Site in violation of any applicable law, or to infringe the rights of anyone else.
You are responsible for what happens under your account, and you must tell us promptly if you believe your credentials or your account have been compromised.
Intellectual property
The Site, its design, code, text, graphics, the Revaia and Ezra Bridge names and marks, and the selection and arrangement of all of it, are owned by Ezra Bridge Inc. or its licensors and are protected by copyright, trademark and other laws. Marks belonging to third parties named on the Site remain theirs.
Nothing in these Terms transfers ownership of the data or documents you submit. The licence you give us above is limited to what we need in order to do the work described in it.
Third-party sites and providers
The Site links to, and works with, websites and services we do not control, including identity verification providers, banking and payment providers, and accounting data providers you may choose to connect. We provide those links and connections for convenience and to operate the service. We do not endorse and are not responsible for their content, products, policies or practices, and your use of them is governed by their own terms.
Availability and changes
We may change, suspend or discontinue any part of the Site at any time, including for maintenance, security or risk reasons, and we may update these Terms. Changes take effect when posted, and the date at the top of this page will be revised. Your continued use of the Site after a change means you accept the revised Terms.
Disclaimer of warranties
The Site is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the Site will be uninterrupted, timely, secure or error-free, or that any information on it, including any indicative rate, fee, limit or timeline, is accurate, complete or current.
Limitation of liability
To the fullest extent permitted by law, Ezra Bridge Inc., its directors, officers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort, negligence, strict liability or otherwise, and even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Site will not exceed one hundred US dollars (US$100). This limitation does not apply to obligations under a separate signed funding, factoring, purchase or capital partner agreement, which carries its own terms.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions the exclusions and limitations above apply only to the extent permitted, and nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.
Indemnification
You agree to indemnify and hold harmless Ezra Bridge Inc. and its personnel from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of your use of the Site, the information, invoices and documents you submit, or your breach of these Terms or of any law or third-party right.
Governing law and venue
These Terms and any dispute arising out of them or the Site are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.
You and Ezra Bridge agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and you consent to personal jurisdiction and venue there. Before filing, both parties agree to attempt in good faith to resolve the dispute informally by contacting the other in writing and allowing thirty days to respond.
General
If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will stay in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets.
These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site. Where you have signed a separate funding, factoring, purchase or capital partner agreement with us, that document governs its subject matter and prevails over these Terms to the extent of any conflict.
